Terms of Service

These Terms of Service ("Terms") govern your engagement of Comet Ventures (ABN: [ABN]) ("we", "us", "our") for consulting and digital marketing services. By engaging our services, you agree to these Terms.
1. Services
Comet Ventures provides the following professional services:
- Google Ads Campaign Management: Setup, optimisation, bid management, keyword research, ad copy creation, and ongoing management of Google Ads campaigns via the Google Ads platform and Google Ads API.
- AI Implementation & Automation: Integration of AI tools, chatbots, workflow automation, and data-driven systems into business operations.
- Marketing Automation: Design and implementation of automated lead capture, nurturing, and conversion workflows.
- Lead Generation Systems: Development of systematic lead capture, qualification, and pipeline management systems.
- Consulting & Strategy: Digital marketing strategy, technology assessment, and implementation planning.
The specific scope of services for each engagement will be outlined in a separate proposal or statement of work ("SOW").
2. Engagement & Onboarding
Each engagement begins upon mutual agreement of a SOW or written confirmation via email. We will require access to relevant accounts and platforms as necessary to deliver the agreed services, including but not limited to Google Ads accounts.
3. Fees & Payment
- Fees for services will be outlined in the applicable SOW or proposal.
- Invoices are issued monthly and are due within 14 days of the invoice date unless otherwise agreed.
- All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise.
- Late payments may incur interest at a rate of 2% per month on the outstanding balance.
- Advertising spend (e.g., Google Ads budget) is separate from our management fees and is paid directly to the advertising platform by the client.
4. Client Responsibilities
To enable us to deliver services effectively, you agree to:
- Provide timely access to necessary accounts, platforms, and information
- Respond to requests for feedback and approvals within reasonable timeframes
- Ensure all information and materials provided to us are accurate and lawful
- Maintain ownership and control of your advertising accounts (e.g., Google Ads)
- Pay all advertising platform costs directly to the relevant platform
5. Google Ads Account Management
When managing Google Ads campaigns on your behalf:
- You retain full ownership of your Google Ads account at all times.
- We will access your account via manager account linking or authorised API access.
- We will manage campaigns in accordance with Google Ads policies and best practices.
- We do not guarantee specific results, rankings, or conversion volumes, as campaign performance depends on many factors including market conditions, budget, and competition.
- You may revoke our access to your Google Ads account at any time.
6. Intellectual Property
- Any custom strategies, systems, or deliverables created specifically for your engagement are owned by you upon full payment.
- We retain ownership of our proprietary tools, methodologies, frameworks, and general know-how.
- We may use anonymised, aggregated data from engagements to improve our services and methodologies.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, campaign data, financial information, and trade secrets. This obligation survives termination of the engagement.
8. Limitation of Liability
- Our liability for any claim arising from our services is limited to the fees paid by you for the specific service giving rise to the claim in the 3 months preceding the claim.
- We are not liable for indirect, incidental, special, or consequential damages, including lost profits or lost data.
- We are not liable for performance variations in advertising platforms, algorithm changes, or market fluctuations beyond our control.
- We are not responsible for any actions taken by Google or other third-party platforms regarding your accounts.
9. Term & Termination
- These Terms remain in effect for the duration of our engagement unless terminated.
- Either party may terminate with 30 days' written notice.
- Upon termination, you will be invoiced for all work completed up to the termination date.
- We will provide reasonable assistance to transition account access and management to you or your nominated party.
10. Dispute Resolution
Any disputes arising from these Terms will be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute will be submitted to mediation in Sydney, New South Wales, before any legal proceedings are commenced. These Terms are governed by the laws of New South Wales, Australia.
11. Amendments
We may update these Terms from time to time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the updated Terms.
